1. Introduction & Acceptance of Terms
Welcome to Vouxat ("Vouxat," "the Platform," "we," "us," or "our"), a digital ecosystem operated and powered by Pentals Innovations ("Pentals Innovations," "the Company"), bringing together social networking, marketplace commerce, a token-based economy, secure payments, memberships, events, travel booking, and related services.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pentals Innovations governing your access to and use of Vouxat, including the website, the Progressive Web App (PWA), all associated plugins, modules, shortcodes, APIs, and any other services made available under the Vouxat brand (collectively, the "Services").
By creating an account, accessing, browsing, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any additional terms referenced herein. If you do not agree to these Terms, you must not access or use the Services.
These Terms apply globally to all Users, regardless of country or region, except where local law requires different or additional terms, in which case such local provisions take precedence solely to the extent of the conflict.
2. Eligibility
To use Vouxat, you must: be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater; have the legal capacity to enter into a binding agreement; not be barred from using the Services under applicable law, including export control, sanctions, or anti-money laundering laws; and provide accurate, current, and complete information during registration and verification.
We reserve the right to refuse registration, suspend, or terminate accounts that do not meet these eligibility requirements.
3. Account Registration & Security
3.1 Creating an Account
To access most features of Vouxat, you must register for an account by providing accurate personal information and completing any required verification steps. You agree to keep your account information current and accurate at all times.
3.2 Account Responsibility
You are solely responsible for maintaining the confidentiality of your login credentials, all activities that occur under your account, and promptly notifying us of any unauthorized use or suspected security breach. Vouxat is not liable for any loss or damage arising from your failure to safeguard your account credentials.
3.3 One Account Per Person
Each individual or legal entity may maintain only one active Vouxat account unless explicitly authorized otherwise by us. Creating multiple accounts to circumvent platform limits, restrictions, or verification requirements is prohibited and may result in suspension of all associated accounts.
3.4 Account Security & Vouxat Fortress
Vouxat employs automated security systems (including the "Vouxat Fortress" security layer) to protect accounts from unauthorized access, fraud, and malicious activity. As part of this protection, repeated incorrect login attempts may result in a temporary, automatic lockout of login access for a limited cooldown period. This is a routine protective measure and does not constitute suspension, banning, or termination of your account. You acknowledge that security measures, including rate-limiting, bot detection, and behavioral monitoring, may occasionally affect login attempts, form submissions, or account access temporarily, and agree that such measures are implemented in good faith to protect all Users and the integrity of the Platform.
4. Identity Verification (KYC)
Certain features of Vouxat — including selling products, services, vouchers, tokens, memberships, event tickets, or digital assets — require completion of our Know Your Customer ("KYC") identity verification process. You agree to submit accurate, genuine, and unaltered identity documents and information when completing KYC verification. Submission of fraudulent, falsified, or another person's identity documents is strictly prohibited and may result in immediate account termination and, where applicable, referral to law enforcement.
Verification submissions may be approved, rejected, or placed under further review at our discretion. Users who have not completed KYC verification may be restricted from accessing certain seller, marketplace, or financial features of the Platform.
5. Marketplace, Vendors & Transactions
Vouxat operates a multivendor marketplace where independent vendors list and sell products, services, and digital goods. Vouxat acts as a platform facilitator and is not itself the seller of vendor-listed goods or services unless explicitly stated. Vendors are solely responsible for the accuracy of their listings, the quality, legality, and delivery of their products or services, and compliance with applicable laws. Buyers are responsible for reviewing listings carefully and providing accurate information.
Marketplace transactions are protected by the Vouxat Escrow System. Payments are held securely and released to the vendor only after order completion is confirmed by the buyer, or as otherwise specified in applicable platform policies. Escrow protection reduces — but does not eliminate — transactional risk, and Vouxat does not guarantee the outcome of any specific transaction or dispute.
6. Token Economy & Digital Assets
Vouxat operates a token-based digital economy (the "Vouxat Token Engine") allowing Users to create, send, receive, swap, and trade digital tokens within the Platform. Tokens created on Vouxat are platform-native digital representations of value and are not legal tender, securities, or government-backed currency unless explicitly stated otherwise. We make no representation, warranty, or guarantee regarding the present or future value, liquidity, or exchangeability of any token.
Users who create their own tokens are solely responsible for the legality, accuracy, and representations made about their token. Vouxat does not endorse, guarantee, or assume liability for any user-created token. "Available" wallet balances may be freely transacted; "locked" balances are restricted due to active orders, escrow holds, savings plans, or pending transactions.
Where Vouxat offers vendor-operated savings features, principal deposited by a saver remains locked within the saver's own wallet and is not transferred to the vendor. Interest payouts are funded from a vendor-maintained reserve. Vouxat does not guarantee vendor reserve sufficiency, and interest accrual may be paused if a vendor's reserve is insufficient.
7. Social Network Features
Users of the Vouxat Social Network agree to engage respectfully and lawfully, and must not post, share, or transmit content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, fraudulent, infringing, or otherwise harmful. You retain ownership of content you create and post ("User Content"). By posting User Content, you grant Vouxat a worldwide, non-exclusive, royalty-free license to host, display, distribute, and otherwise make that content available as necessary to operate the Services. We reserve the right, but do not assume the obligation, to monitor, remove, or restrict access to any User Content that violates these Terms or applicable law.
8. Travel Booking Services (Flights & Hotels)
Flight and hotel booking features integrate with third-party travel data providers and inventory systems, as well as listings submitted by Vouxat vendors. Availability, pricing, and fare/rate rules are determined by airlines, hotels, vendors, and third-party providers, and are subject to change without notice until a booking is confirmed.
You are solely responsible for ensuring that all passenger and guest information is entered accurately and matches official travel documents. Vouxat is not responsible for denied boarding, denied check-in, or other consequences resulting from inaccurate information provided by you. Flight bookings may exist in interim statuses (such as "Hold Confirmed") prior to final ticket issuance ("Ticketed"); cancellation availability differs by status and by the applicable airline, hotel, or vendor policy.
Vouxat acts as a booking facilitator for travel services provided by independent third parties. We are not the provider of the underlying travel service and are not liable for the acts, omissions, delays, cancellations, or quality of service of any airline, hotel, or third-party travel provider, except as required by applicable law.
9. Memberships, Vouchers & Events
Membership plans grant access to specific features, content, or benefits for the duration described at the time of purchase. Digital vouchers issued on the Platform are subject to their stated value, expiration terms, and redemption conditions at the time of issuance. Event organizers using the Vouxat Event Marketplace are solely responsible for the accuracy of event details, delivery of the advertised event, and compliance with applicable laws. Vouxat facilitates ticket sales and entry validation but is not the organizer of third-party events listed on the Platform.
10. Fees & Payments
Vouxat and/or its vendors may charge fees for certain transactions, services, or features, which will be disclosed prior to purchase or transaction completion. You are responsible for any taxes applicable to your use of the Services.
11. Prohibited Conduct
You agree not to: use the Services for any unlawful purpose; attempt to gain unauthorized access to any account or system; engage in fraud, money laundering, or deceptive financial activity; use bots or automated means not expressly permitted; circumvent or interfere with security-related features, including rate-limiting and identity verification systems; upload malicious code; misrepresent your identity or create fraudulent listings, accounts, or tokens; infringe upon third-party rights; or manipulate token markets, escrow processes, or marketplace listings in a deceptive manner.
Violation of this section may result in immediate suspension or termination of your account, forfeiture of applicable balances or benefits as permitted by law, and may be reported to relevant authorities.
12. Intellectual Property
All trademarks, logos, branding, software, design elements, and content provided by Vouxat and Pentals Innovations (excluding User Content and vendor-supplied listings) are the exclusive property of Pentals Innovations or its licensors and are protected by applicable intellectual property laws.
13. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using Vouxat, you consent to the data practices described in our Privacy Policy.
14. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We do not guarantee that the Platform will be free of vulnerabilities, that all fraudulent activity will be prevented, that token values will remain stable, or that third-party vendors, airlines, hotels, or event organizers will perform as represented. You use the Services at your own risk.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PENTALS INNOVATIONS AND VOUXAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSET VALUE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. Our total aggregate liability for any claim shall not exceed the greater of the amount you paid to Vouxat in the twelve (12) months preceding the claim, or one hundred United States Dollars (USD $100), unless prohibited by applicable law. Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for gross negligence, willful misconduct, or fraud.
16. Indemnification
You agree to indemnify, defend, and hold harmless Pentals Innovations and Vouxat from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your User Content, your violation of these Terms, or your violation of any applicable law or third-party right.
17. Suspension & Termination
You may close your account at any time through your account settings or by contacting support. We reserve the right to suspend or terminate your account, in whole or in part, where we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, posed a security risk, or where required by law. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification) shall survive.
18. Modifications to the Services & Terms
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, and may revise these Terms from time to time. Material changes will be communicated through reasonable means. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
19. Governing Law & Dispute Resolution
These Terms shall be governed by general principles of international commercial law, except where mandatory local consumer protection law requires application of local law. Before initiating any formal dispute proceeding, you agree to first contact us to attempt to resolve the dispute informally. Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered under internationally recognized arbitration rules, except where applicable law grants you a non-waivable right to pursue claims in court or through a local consumer protection body. To the extent permitted by law, disputes shall be resolved on an individual basis, and you waive any right to participate in a class, collective, or representative action.
20. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity of the remaining provisions.
21. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Pentals Innovations regarding your use of Vouxat.
